Choosing a company vehicle in Egypt is often treated as a simple incorporation step. In reality, it is one of the most consequential legal decisions a business will make. The chosen structure influences governance, ownership flexibility, fundraising capacity, regulatory exposure, and even the ease of future exit or restructuring.
For foreign investors, the decision typically narrows to two core corporate forms under Egyptian law: the Limited Liability Company (LLC) and the Joint Stock Company (JSC). Both are governed by Egypt’s Companies Law No. 159 of 1981 and administered in practice through the framework of the General Authority for Investment and Free Zones (GAFI).
Although both structures provide limited liability and are widely used in the Egyptian market, they serve fundamentally different commercial purposes and are not interchangeable.
